Nimgir — Terms of Service

1. Who we are.

Nimgir is developed and sold by PANMATHICS Yazılım Teknoloji Limited Şirketi, Etiler Mah. Evliya Çelebi Cad. No:23 İç Kapı No:106, Muratpaşa/Antalya, Türkiye (trade registry Antalya/144498, MERSİS 0721102312800001). Contact: support@nimgir.ai. These terms govern your purchase and use of the Nimgir software ("the Software").

2. What you buy.

A license is a one-time purchase. It is perpetual: it never expires and the Software never deactivates. Each purchase includes 12 months of software updates from the date of purchase. After the update term ends, the Software continues to work; you may optionally purchase an extension of the update term.

3. License scope.

Licenses are for use by the licensed person(s) and may not be resold, sublicensed, rented, or shared outside the licensed team.

4. Delivery.

Your license key is delivered by email, normally within minutes of payment confirmation. No physical delivery.

5. Payment.

Purchases may be processed by Paddle.com Market Limited as Merchant of Record (Paddle's Buyer Terms and Refund Policy apply to those purchases) or by card via our bank's secure 3-D Secure infrastructure. We never see or store card numbers.

6. Free demo.

The demo is the full product with a limited number of managed sessions. When the demo ends, the Software stops managing new sessions; it never touches, locks, or deletes your data.

7. Your data.

The Software runs locally on your machine. Your session content, briefings, and workspace data stay on your machine — see the Privacy Policy for the short list of what the license server processes.

8. Restrictions.

You may not redistribute the Software or your license key, offer it as a service to third parties, remove license enforcement, or reverse engineer the Software except where law expressly permits.

9. Updates and compatibility.

Updates within your update term are delivered through the built-in updater. The Software targets Anthropic's Claude Desktop and Claude Code; we work to track their changes but do not control third-party software and cannot guarantee uninterrupted compatibility.

10. Warranty.

The Software is provided "as is". We make reasonable efforts to keep it working as described and to fix material defects. To the maximum extent permitted by law, our total liability is limited to the amount you paid. Nothing in these terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

11. Termination.

We may revoke a license key obtained fraudulently, charged back after delivery, or used in breach of section 8. Revocation stops license validation; it never deletes or locks your local data.

12. Governing law.

These terms are governed by the laws of the Republic of Türkiye. Mandatory consumer-protection law of your country of residence remains unaffected. For purchases processed by Paddle, your purchase contract is with Paddle and Paddle's terms govern the transaction.

13. Changes.

We may update these terms for future purchases; the terms in force at your purchase date apply to you.
